Terms of Service
These terms govern your access to and use of the Citrate Network investor data room (dataroom.citrate.ai), operated by Citrate Inc., a Delaware corporation (the “Company”). By requesting or using access, you agree to these terms and to the mutual non-disclosure agreement you execute within the flow.
1. Eligibility & authorized access
Access is offered only to individually authorized, prospective investors who complete identity verification, execute the mutual NDA, and self-certify accreditation under Regulation D. Access is personal to you, must not be shared, and may be granted, declined, suspended, or revoked at the Company’s discretion.
2. Confidentiality
All materials in the full room are confidential and provided subject to the mutual NDA you sign. You may not copy, distribute, publish, or disclose them except as that agreement permits. Every view of confidential materials is logged to the viewing account.
3. Not an offer of securities
The materials are provided for evaluation only. Nothing in the data room is an offer to sell, or a solicitation of an offer to buy, any security. Any securities offering would be made solely to accredited investors pursuant to definitive transaction documents and an applicable exemption from registration. The materials are not investment, legal, or tax advice.
4. Forward-looking information
The materials may contain projections, roadmaps, and forward-looking statements that involve risk and uncertainty. They are not guarantees of future results, may change without notice, and should not be relied upon as the sole basis for any decision.
5. Acceptable use
You agree not to scrape, bulk-download, redistribute, reverse-engineer, or attempt to circumvent the access controls or audit logging of the data room, and not to use it for any unlawful purpose. You are responsible for keeping your credentials secure.
6. Intellectual property
All content, trademarks, and materials in the data room are owned by Citrate Inc. or its licensors. No license or right is granted except the limited, revocable right to view the materials for evaluation under these terms and the NDA.
7. Disclaimers & limitation of liability
The data room and its materials are provided “as is,” without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, or consequential damages arising from your use of the data room.
8. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
